2. Purpose
The terms and conditions established herein are intended to regulate the access, navigation, and use of the HABIHUB platform by real estate agencies (hereinafter, "the agencies"), as well as the access and use of any information, tools, functionalities, and services offered through it. These terms and conditions may be modified at any time by HABIHUB, with such modifications being effective immediately after their publication on the platform. Continued use of HABIHUB after any modification implies tacit acceptance of the modified terms.
Should the use or browsing of certain content or services offered on HABIHUB require specific conditions that differ from those described herein, these will be displayed clearly and accessibly to the user. The use of such content or services will imply the express acceptance of the particular conditions applicable to them.
This document regulates the relationship between HABIHUB and real estate agencies, establishing the bases on which access to information related to properties and developments will be provided, including, but not limited to, prices, availability, images, plans, and quality specifications, under a SaaS subscription model. Agencies will use this information to consult developments and proceed with the sale of properties under contract with their clients. Acceptance of these terms and conditions is an indispensable requirement for the use of the platform and associated services by agencies.
3. Access
Access to the HABIHUB platform is free and open to all real estate agencies wishing to use the services offered. To use HABIHUB's services and access information provided by developers, agencies must register on the platform. The registration process requires creating an account by providing an email and other relevant data. Once registration is complete, HABIHUB will send a confirmation email to activate the account. After account verification and monthly subscription payment, agencies will have full access to the HABIHUB platform, where they can consult and manage information about new builds and properties provided by developers.
HABIHUB is not responsible for the veracity of the data that developers may provide, these being solely responsible for the possible consequences, errors, and failures arising from the inaccuracy of the information provided.
4. Intellectual and industrial property rights
HABIHUB is the owner or, where applicable, holds the necessary licenses for the intellectual and industrial property rights required to operate the HABIHUB platform and to use the content available through it. This includes, but is not limited to, the platform itself, texts, photographs, illustrations, logos, brands, graphics, designs, interfaces, and any other information or content available, as well as the services provided through it.
The use of trademarks, trade names, or other distinctive registered signs, whether owned by HABIHUB or third parties, is strictly prohibited without the prior, express, and written consent of HABIHUB or the rights holders. Access or use of the platform does not grant any right of ownership, title, or possession over the aforementioned elements. Therefore, the user only has the right to use the contents and/or services offered by the platform within its limitations, exclusively for the enjoyment of the service's functionalities.
Consequently, it is prohibited to modify, copy, reproduce, publicly communicate, transform, distribute, or disseminate, by any means and in any form, all or part of the contents and information included in the HABIHUB platform, as well as any information originating from HABIHUB, for any purpose, without the prior, express, and written authorization of HABIHUB or, if applicable, of the holder of the rights involved. However, agencies may use the graphic material available on the platform exclusively for the promotion and sale of the properties offered.
Likewise, it is forbidden to remove or manipulate the intellectual or industrial property indications or other credits that identify the owners of the rights of the content present on the platform, as well as technical protection devices, digital fingerprints, or any protection mechanism or information incorporated into the content offered on the platform.
By submitting information or content of any kind to HABIHUB, you declare, guarantee and agree that you have the right to do so freely, that such information does not infringe any intellectual property, industrial, trade secret or any other third-party rights, and that the information is not confidential or harmful to third parties. Likewise, you undertake to assume responsibility for the communications and content you send or share through HABIHUB, exempting HABIHUB from any claim, proceeding, damage, cost, fees (including legal fees), interest and expenses, direct or indirect, that may arise.
Should you become aware of the existence of any illicit, illegal, or law-breaking content, or content that infringes intellectual property rights, industrial rights, or any other rights, whether for third parties or for yourself, you must notify HABIHUB immediately by email or post to the address: info@habihub.com, so that we can take appropriate measures at our sole discretion.
HABIHUB is the legal owner, beneficiary, and licensor of the HABIHUB web platform, through which software services are provided that allow developers to upload information about their properties to the platform. Reproducing, distributing, marketing, capturing, decompiling, reverse engineering, or using the service in any way without the express written authorization of HABIHUB is strictly prohibited. HABIHUB reserves the right to claim compensation for damages that any unauthorized use may cause, without prejudice to applicable legal actions.
5. Links
This clause informs HABIHUB users that certain links present on our digital platform, such as buttons, direct links, banners, or embedded content, may redirect to websites, platforms, or pages operated under third-party management, unless explicitly stated otherwise. It is important to note that HABIHUB does not have the capacity, either human or technical, to control, validate, or endorse all information, content, products, or services available through such links. Therefore, HABIHUB assumes no responsibility for the content or practices of these external pages or platforms.
Likewise, HABIHUB offers no guarantee and is not responsible for the functioning, access, data, quality, accuracy, legality or any other aspect of third-party websites, platforms or pages accessible through the links available on our platform.
Should any HABIHUB user, after using a link and leaving our platform, observe activities or content on third-party pages that could be considered illegal, immoral, or contrary to good customs, they are requested to notify HABIHUB immediately. This will allow us to take appropriate measures to remove said link, preventing access to inappropriate content or practices, whenever it is within our reach.
It is relevant to emphasize that the inclusion of links on HABIHUB to other sites, pages, or platforms does not suggest any form of relationship, collaboration, or dependence with the owners or managers of such external sites. HABIHUB imposes specific restrictions regarding the creation of links to our platform to ensure respect and protection of our intellectual and industrial property. Consequently, it is prohibited to establish any link to HABIHUB from sites that contain materials, information, or content that infringe the law, morality, public order, or the rights of third parties.
The regulations applicable to this specific case include, but are not limited to, the Law on Information Society Services and Electronic Commerce (LSSICE) in Spain, which addresses the responsibility of service providers such as HABIHUB regarding information provided by third parties and content redirected via links.
6. Subscription types and payment method
6.1. Free subscription: The free version includes a duration of 3 days from registration, after which the agency must pay the monthly subscription. Information is limited, and catalog viewing is restricted to one area and a reduced number of promotions and properties.
6.2. Paid subscription: The paid version includes full viewing of all promotions in the contracted areas, access to all properties with their information, access to all documentation generated by the developer, access to all graphic material, direct contact with developers, white-label landing page, daily updates, client management tools, and collaboration tools to share client information and sales commissions.
6.3. Payment methods: After selecting the subscription model, agencies will make payment through the payment gateway using credit/debit card, PayPal, or SEPA. The subscription payment will automatically renew monthly or annually. If agencies register once a month has begun, HABIHUB will only charge the proportional part.
6.4. Consideration: The subscription price is 50 EUR + VAT for the first catalog, 40 EUR + VAT from the second. The price may be updated with prior notification. At the time of subscription, a one-time setup fee of €125 + VAT will be charged for the service.
7. Platform Registration
Agencies have the option to register on the HABIHUB platform for free with limited information, or with all functionalities through a paid monthly subscription. The registration process includes:
• Account Creation: Agencies must complete an initial registration form providing relevant data, including name, surname, email, phone number, and tax details.
• Registration Confirmation: Once the form is completed, agencies will receive a confirmation email with a link to verify their account and activate their access.
After account verification, agencies will have full or limited access to the HABIHUB platform.
Agencies can consult and use the information for each development at any time. It is the agencies' responsibility to ensure that all data used is accurate and up-to-date.
Through the HABIHUB platform, agencies have the ability to sign contracts directly with real estate developers, manage them, review them, sign them, and store them in their private area.
Agencies can unsubscribe from the platform at any time by clicking the "unsubscribe" button in their client area. Upon unsubscribing, the subscription will no longer be charged. After cancellation, the account will remain active for consulting invoices and previously formed contracts, but without access to the developments and functionalities of the platform.
To allow sending emails directly from HABIHUB, agencies must connect an email account to the platform.
8. Rules of use for the HABIHUB platform
Access to and use of HABIHUB, a platform intended to serve as a real estate catalog for agencies, must be carried out in accordance with applicable law, principles of good faith, sound business practices, and fully respecting HABIHUB's and third parties' intellectual and industrial property rights. In this sense, the use of HABIHUB for illegal, unauthorized, or infringing purposes of the terms of use established herein is strictly prohibited.
Agencies will assume full responsibility for any consequences that may arise from non-compliance with these conditions, including, but not limited to:
• Using HABIHUB in a way that may cause damage, interruptions, or adversely affect its operation or that of third parties participating in the platform.
• Spreading any virus, malware, or any other harmful code or file through HABIHUB that could compromise the security or operation of the platform.
• Collecting personal data of other users or entities present on the platform without their explicit consent and in accordance with applicable data protection regulations.
• Unauthorized access to restricted areas of HABIHUB, systems or networks connected to it, as well as attempting to breach established security measures.
• Performing acts that impose an unreasonable or disproportionate burden on HABIHUB's technological infrastructure.
• Using the platform for activities that violate laws, are contrary to morals, public order, or infringe intellectual or industrial property rights.
Failure to comply with these regulations may lead HABIHUB to adopt corrective measures, including the deletion or blocking of the infringing agency's account and the possibility of exercising pertinent legal actions for the repair of damages caused.
9. Intermediation
HABIHUB acts exclusively as an intermediary between developers, real estate agencies, and platform users. HABIHUB provides a digital space where developers can publish information about their homes and developments for agencies and users to access.
It is important to highlight that HABIHUB does not participate in transactions between developers and real estate agencies or end-users, nor does it guarantee the veracity, accuracy, integrity, or timeliness of the information published on the platform. All information related to properties, including but not limited to prices, availability, images, plans, and quality specifications, is provided directly by the developers, and they are solely responsible for its content.
HABIHUB assumes no responsibility for the data published on the platform and does not guarantee that the information provided by developers is complete, correct, or up-to-date. Developers are responsible for ensuring that the information they upload to the platform complies with all applicable laws and regulations.
Consequently, HABIHUB is not responsible for any damage or harm that may arise from the use of the information published on the platform, nor for decisions made by real estate agencies or users based on said information. Any claim or dispute arising in relation to the information provided on the platform must be addressed and resolved directly between the parties involved.
This intermediation framework is established without prejudice to HABIHUB's compliance with applicable regulations on personal data protection and e-commerce, ensuring at all times the proper and secure processing of personal data and the protection of the rights of platform users.
10. Veracity of published information
Agencies using the HABIHUB platform commit to ensuring that all information they consult and use is truthful, accurate, and up-to-date. This includes, but is not limited to, data on prices, availability, images, floor plans, quality specifications, and any other details related to properties offered by developers. Agencies are solely responsible for verifying and appropriately using the information available on the platform.
At the same time, agencies are responsible for the accuracy of the information they submit to the platform and to developers. All information provided during registration and when using the platform must be accurate, complete, and up-to-date. Agencies must correct or update any incorrect data in a timely manner.
HABIHUB is not responsible for the inaccuracy or falsity of the information provided by developers. Any damage or harm arising from the use of incorrect or misleading information will be the sole responsibility of the developer who supplied such information. Agencies must indemnify and hold HABIHUB harmless against any claim, damage, or harm that may arise as a result of the inaccuracy of the data.
11. Management of real estate development information
11.1. Promotion Information: Once published, the information is made available to the entire network of real estate agencies registered on the platform. This information includes email addresses and telephone numbers of the developers, considered public information. We reserve the right to restrict access to certain promotions, allowing their viewing only to agencies or agents designated by the developer.
11.2. Location Images: Environment and area images are provided for illustrative purposes only. HABIHUB maintains usage rights derived from third-party licenses and does not transfer ownership of such images to end customers.
11.3. Ability to Sign Contracts: Through the HABIHUB platform, agencies have the ability to sign contracts directly with real estate developers. This functionality allows formalizing agreements efficiently and securely within the HABIHUB digital environment.
11.4. Update Mechanisms: HABIHUB offers intuitive and efficient tools that allow developers to update their promotions quickly and easily, ensuring that their promotion information remains always current and accurate.
11.5. Support and Assistance: HABIHUB provides technical support and assistance to agencies to help them with their personal area and subscription, via the email address info@habihub.com.
11.6. Data Update by HABIHUB: HABIHUB commits to updating data on the platform every maximum of 3 days. We reserve the right to modify this period as we optimize our processes, with the goal of reducing the update time or achieving a real-time update system.
12. Responsibility and guarantees
HABIHUB, in compliance with applicable legal provisions and in relation to the operation of its platform as a real estate catalog and communication channel for developers, strives to ensure the accuracy, reliability, and updating of all information and services offered. However, given that HABIHUB acts only as a facilitator in these interactions, it cannot guarantee the infallibility of the information provided or the uninterrupted continuity of its services.
HABIHUB is exempt from liability for:
• The uninterrupted continuity of the content and services offered on the platform.
• The absence of viruses, malware, or other harmful elements on the platform or on the servers that provide it.
• The total invulnerability of the platform and the guarantee of unbreakable security of the measures adopted.
• The utility, applicability, or specific performance of the content and services offered through the platform.
• Damages or harm that may be caused to oneself or to third parties as a result of violating the terms of use.
• Services provided by HABIHUB's third-party providers.
• Any other reasons or consequences not attributable to HABIHUB.
Despite this, HABIHUB declares that it has implemented all technical and organizational measures within its reach, in accordance with the current state of technology, to ensure the proper functioning of the platform and to minimize, as far as possible, both technical errors and errors in the published content.
HABIHUB assumes no responsibility for the veracity, integrity, or updating of information from third parties, including information provided directly by developers.
This framework of responsibility is established without prejudice to situations arising from malicious actions by HABIHUB or compliance with applicable regulations on personal data protection and e-commerce, including the LOPDGDD and the LSSI-CE.
13. Suspension of access to the HABIHUB platform
HABIHUB reserves the right, without prior notice and at its sole discretion, to suspend, modify, restrict, or interrupt, either temporarily or permanently, the access, use, hosting, and/or download of content, as well as the use of the services offered through the platform, to those users who breach any of the terms and conditions established in this document. This measure applies without prejudice to HABIHUB's right to take appropriate legal action and without the affected users being able to claim any compensation.
In case any violation of applicable law is detected, HABIHUB may report such acts to the competent authorities, both police and judicial, so that they may proceed according to law.
14. Confidentiality and data protection
In accordance with the provisions of the General Data Protection Regulation (GDPR) of the European Union, as well as any other applicable legislation on data protection and privacy, all personal data provided during the use of the HABIHUB platform, whether through the website or the mobile application, will be processed with the utmost care and security.
The collection, use, storage, and any other form of processing of personal data will be carried out in accordance with our Privacy Policy, which all users must read and expressly accept before using the services offered by HABIHUB. This policy details users' rights regarding their personal data, including access, rectification, erasure, restriction of processing, objection, and the right to data portability.
HABIHUB undertakes to use personal data exclusively to facilitate communication between real estate agencies and developers through our platform, without disclosing personal information to third parties without the user's explicit consent, unless required by law or necessary for the provision of the contracted service.
Acceptance of this Confidentiality and Data Protection clause is an essential requirement for the use of HABIHUB's services. Users can consult our complete Privacy Policy at any time, which is available on HABIHUB's website and mobile application.
15. Miscellaneous
The headings and titles presented in these Terms and Conditions are for informational purposes only and will not influence, qualify, or expand the interpretation of these.
In the event that any clause of these Terms and Conditions is declared null, invalid or unenforceable, either in whole or in part, by a competent Court, Tribunal or administrative body, such declaration shall not affect the validity and applicability of the remaining provisions contained in these Terms and Conditions.
The failure or non-enforcement by HABIHUB of any right or provision included in these Terms and Conditions shall not be considered a waiver of such rights or provisions, unless expressly acknowledged and agreed in writing by HABIHUB.
16. Applicable Law and Competent Jurisdiction
The use of the HABIHUB platform, as well as the interaction and communication between real estate agencies and developers through it, implies the full acceptance of these Terms and Conditions by users. If you do not agree with these Terms and Conditions, please refrain from using the platform.
All matters relating to HABIHUB, including, without limitation, those related to the use of the platform, the validity, interpretation and compliance with these Terms and Conditions, will be subject to Spanish law, in particular Regulation (EU) 2016/679 (GDPR) and Law 34/2002, of 11 July, on Information Society Services and Electronic Commerce (LSSICE), without prejudice to the specific regulations applicable to real estate activities and consumer and user protection.
For the resolution of any controversy, conflict or claim arising from the interpretation or execution of these Terms and Conditions, the parties expressly waive any other jurisdiction that may correspond to them, submitting to the jurisdiction of the Courts and Tribunals of the city where HABIHUB has its registered office, unless the applicable regulations on consumer and user protection establish the jurisdiction of other judicial bodies.
